By accessing and using the services of adjoincbjy B.V., engaging our construction project management services, or visiting our website adjoincbjy.top, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with these terms, you must not use our services or website. These terms constitute a legally binding agreement between you and adjoincbjy B.V.

adjoincbjy provides professional construction project management services including but not limited to project planning, construction oversight, quality management, risk assessment, contractor coordination, and project delivery. Specific services will be detailed in individual service agreements or contracts with clients. We reserve the right to modify or discontinue services with appropriate notice.
When engaging our services or using our website, you agree to provide accurate and complete information, comply with all applicable laws and regulations, respect the intellectual property rights of adjoincbjy and third parties, not use our services for any unlawful or prohibited purposes, and maintain the confidentiality of any sensitive project information shared during our professional relationship.
Specific construction project management services will be governed by separate written agreements that detail project scope, timelines, deliverables, and compensation. These Terms of Service supplement but do not replace individual service agreements. In case of conflict between these general terms and a specific service agreement, the service agreement shall prevail.
Payment terms for services will be specified in individual service agreements. Unless otherwise agreed, invoices are payable within 30 days of invoice date. Late payments may incur interest charges as permitted by Dutch law. adjoincbjy reserves the right to suspend services for overdue accounts and may require advance payment or guarantees for certain projects.
All content on the adjoincbjy website, including text, graphics, logos, images, and software, is the property of adjoincbjy B.V. and is protected by Dutch and international copyright laws. Project methodologies, reports, and documentation developed by adjoincbjy remain our intellectual property unless specifically transferred under written agreement. Clients retain ownership of their project-specific data and information provided to adjoincbjy.
adjoincbjy acknowledges that we may have access to confidential client information during project delivery. We commit to maintaining strict confidentiality of all client information and will not disclose such information to third parties without explicit written consent, except as required by law or necessary for project execution with approved subcontractors who are bound by similar confidentiality obligations.
To the maximum extent permitted by Dutch law, adjoincbjy's liability for any claims arising from our services is limited to the total amount paid by the client for the specific services giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of the theory of liability, whether in contract, tort, or otherwise.
adjoincbjy commits to performing all services in accordance with applicable professional standards and industry best practices. However, we do not guarantee specific project outcomes as construction projects involve inherent risks and dependencies beyond our control. Our obligation is to provide professional services with reasonable skill and care in accordance with accepted industry standards.
adjoincbjy shall not be liable for any delay or failure to perform resulting from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government regulations, or other unforeseeable events. In such cases, we will make reasonable efforts to minimise delays and communicate with affected clients.
Either party may terminate service agreements in accordance with the specific termination clauses contained in individual contracts. adjoincbjy reserves the right to terminate services immediately if clients breach these terms, fail to make required payments, or engage in conduct that could harm our reputation or business interests. Upon termination, all outstanding fees become immediately due and payable.
Our collection and use of personal data is governed by our Privacy Policy, which complies with GDPR and Dutch data protection laws. These Terms of Service and any disputes arising from or relating to our services shall be governed by and construed in accordance with the laws of the Netherlands. Any legal proceedings must be brought in the competent courts of the Netherlands. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
We encourage clients to contact us directly to resolve any concerns or disputes. If a dispute cannot be resolved through direct communication, we agree to participate in good faith mediation before pursuing formal legal proceedings. Any mediation shall be conducted in accordance with the mediation rules of the Netherlands Mediation Institute.
adjoincbjy reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting updated terms on our website and updating the "last updated" date. Continued use of our services after such modifications constitutes acceptance of the revised terms. Clients are encouraged to review these terms periodically.
